Master Platform Terms of Service

and Business Rules Agreement

NAIJASTAY TECHNOLOGIES LIMITED

This Terms of Service Agreement is entered into between NaijaStay Technologies Limited, a company duly incorporated pursuant to the Companies and Allied Matters Act (CAMA) 2020 of the Federal Republic of Nigeria (hereinafter referred to as the “Platform”), and any natural person or legal entity (whether acting in the capacity of a Host, Agent, Corporate Representative, or Guest) who accesses, registers on, or transacts through the NaijaStay mobile application or web portal (hereinafter referred to as the “User”).

The Platform and the User shall hereinafter be collectively referred to as “the Parties”and individually as a “Party”.

WHEREAS, the Platform operates a proprietary, decentralised, identity-tokenized marketplace for the facilitation of short-term property occupancy, lodging arrangements, and temporary space licensing within the Federal Republic of Nigeria. In consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

Article I — Definitions and Interpretations

The following definitions shall apply throughout this Agreement and all ancillary documents forming part of this Master Bundle, unless the context expressly requires otherwise:

Platform

NaijaStay Technologies Limited, its subsidiaries, affiliates, mobile applications, websites, and supporting backend infrastructure.

User

Any natural person or legal entity (whether acting in the capacity of a Host, Agent, Corporate Representative, or Guest) who accesses, registers on, or transacts through the NaijaStay platform.

Host

The legal owner, holder of a title, or any person contractually authorized to manage or make available a property for temporary occupation on the Platform.

Guest

The individual or legal entity who reserves, pays for, and is granted a temporary licence to occupy a listed property through the Platform.

Licence to Occupy

A purely contractual, personal privilege granted to the Guest to enter and use a specified property for a defined period. Such licence terminates upon the expiration of the defined period and confers no estate, leasehold interest, or possessory title in the property upon the Guest.

Tokenized Identity

The cryptographic abstraction of a User's verified legal identity, represented on the front-end interface by a system-generated pseudonym, while the User's true identity data remains secured within an encrypted backend identity vault.

Caution Deposit

The refundable security payment made by a Guest prior to check-in, held for the defined period by the Platform in accordance with the Guest Occupancy Waiver.

The Nigeria Data Protection Act, 2023.

FCCPA

The Federal Competition and Consumer Protection Act, 2018.

Article II — Legal Nature of Accommodation (Exclusion of Tenancy)

2.1Absolute Exclusion of Tenancy Rights

The parties hereto expressly acknowledge and agree that every booking, reservation, or accommodation confirmed through the Platform constitutes a contractual Licence to Occupy and is explicitly NOT a tenancy, lease, or any other form of landlord-and-tenant relationship. The relationship created between the Host and the Guest is strictly that of a Licensor and Licensee. No right, title, or interest in the property, whether legal or equitable, is hereby transferred to the Guest by the Host.

2.2Right of Re-entry

Upon expiration of the scheduled check-out date and time, or immediately upon the Platform's issuance of a digital eviction notice consequent upon a material breach of these terms, the Host and/or the Platform's designated personnel may exercise a right of re-entry to the licensed premises only where this can be effected peaceably and without the use or threat of force. Where a Guest refuses to vacate or re-entry cannot be effected peaceably, the Host and/or the Platform shall have the right to seek the assistance of the Nigeria Police Force or other appropriate lawful authority.

2.3Limitation of Liability

Except where arising from the established negligence or wilful default of the Platform or the Host, the Platform shall not be held liable for personal injury, death, property loss, or related harm occurring during a Guest's occupancy or use of the Host's property. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded under the laws of the Federal Republic of Nigeria.

2.4Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the platform shall first be submitted to arbitration in accordance with the provisions of the Arbitration and Mediation Act, 2023 of the Federal Republic of Nigeria. The arbitration shall be conducted by a sole arbitrator in Lagos or Abuja, Nigeria, and in English language. No party shall resort to litigation until the arbitration process has been concluded. The award shall be final and binding on the parties.

2.5Class Action Waiver

The parties agree that any dispute, claim, or action shall be brought solely in an individual capacity and not as a member in any purported class action, representative action, or collective proceeding, and the parties waive expressly any right to participate in or bring a class action against the other. Nothing in this section restricts a User's right to file a complaint with, or participate in an investigation or enforcement action initiated by, the Federal Competition and Consumer Protection Commission (FCCPC) or any other statutory regulator.

Article III — Mandatory Identity Verification & KYC Requirements

3.1The QoreID Verification Mandate

No User shall post a property listing or complete a booking on the Platform without successfully completing the mandatory automated Know-Your-Customer (KYC) on-boarding process. The protocol shall require:

  • The input of a valid and verifiable National Identification Number (NIN); and
  • The successful completion of a live, real-time biometric three-dimensional (3D) selfie and a live check processed through the integrated QoreID verification framework.

3.2Verification Integrity and Sanctions

Each User warrants that all identity tokens, documents, and biometric data provided during the KYC process are correct and belong solely and exclusively to that User. Any attempt to utilize a third party's identity records, compromised NIN, or synthetic media (deepfakes) shall constitute a material breach of this Agreement and shall result in:

  • An immediate and permanent platform-wide account ban;
  • The freezing of all associated financial assets held within the Platform; and
  • Direct reporting of the offending User to the National Identity Management Commission (NIMC) and relevant law enforcement authorities.

Article IV — Data Privacy & Law Enforcement Cooperation Protocol

This Protocol establishes the strict legal conditions and procedural framework under which NaijaStay Technologies Limited may, in exceptional and defined circumstances, decrypt user identity data, balancing the fundamental right to privacy against the imperatives of national security, public safety, and crime prevention within the Nigerian digital ecosystem.

4.1Data Protection Compliance

The Platform operates as both a Data Controller and Data Processor in full compliance with the provisions of the Nigeria Data Protection Act (NDPA) 2023. In furtherance of its privacy-by-design principles, all verified user identities, NIN details, and biometric data-sets are encrypted using advanced cryptographic algorithms and are isolated within a secured identity vault. Front-end user profiles utilize system-generated tokenized pseudonyms at all times during routine Platform operations.

4.2The Break-Glass Decryption Mechanism

By opting to use the Platform, executing the electronic acceptance of this Agreement, and completing any property transaction thereon, the User grants explicit, irrevocable, and contractually binding consent for the Platform to activate the “Break-Glass” protocol to decrypt, reveal, and disclose their true identity records to authorized law enforcement agencies, strictly upon the occurrence of any of the following conditions:

  • Court Order: Receipt of a valid court order, judicial warrant, or other lawful compulsory legal process issued by a court of competent jurisdiction in Nigeria, confirming that a property or booking on the Platform is connected to an ongoing investigation of cybercrime, internet fraud, money laundering, narcotics trafficking, or violent criminal offenses. A mere written request or letter of invitation, without accompanying lawful judicial authorization, shall not be sufficient.
  • Wilful Malicious Damage: The Platform's internal Dispute Resolution and Damage Assessment Team has determined that the Guest has, on the balance of probabilities, committed severe malicious damage or destruction to the property where the assessed cost for repair exceeds N250,000.00 or the total value of the held caution deposit, whichever is greater.
  • Refusal to Vacate Premises: Where a Guest remains physically present within a property four (4) hours beyond the designated check-out time without the express written or digital authorisation of the Host, thereby converting their status from that of a lawful Licensee to that of an illegal trespasser.

4.3Data Transmission Protocol

Upon verification of a legitimate trigger event, the Platform's Chief Compliance Officer shall execute the digital “Break-Glass” command. The unredacted data payload — comprising the User's full legal name, NIN data file, biometric image, registered phone number, alternative contact records, and complete financial transaction history — shall be compiled into an unalterable, cryptographically signed PDF and transmitted securely and exclusively to the requesting authorised agency.

Article V — Guest Occupancy Waiver, License & Escrow Administration

This Occupancy Waiver is executed by the Guest (Licensee) in favour of the Host (Licensor) and the Platform as an indispensable precondition to the Guest taking physical occupancy of the licensed property. By proceeding with a booking, the Guest is deemed to have read, understood, and unconditionally accepted the terms of this Waiver.

5.1Permitted Use

The Guest shall utilise the licensed premises exclusively for lawful residential purposes. The following activities are strictly prohibited:

  • Commercial filming, photography shoots, or media production of any nature;
  • The hosting of large-scale parties, events, or gatherings that exceed the maximum property capacity stated on the Platform listing;
  • Political rallies, canvassing activities, or partisan gatherings of any description; and
  • Any commercial, industrial, or non-residential activity not expressly authorised in writing by the Host.

5.2Compliance with Applicable Laws

The Guest warrants and guarantees that no illegal activities, cybercrimes, or acts prohibited under the laws of the Federal Republic of Nigeria shall be conducted within or from the licensed property during the occupancy period.

5.3Nature of the Caution Deposit (Liquidated Damages)

The Guest agrees to pay a refundable security fee (the Caution Deposit) prior to check-in, to be held in an interest-free escrow account managed exclusively by the Platform. The parties expressly agree that any deductions made from this Deposit shall be legally characterised as Liquidated Damages, representing a genuine and mutually agreed pre-estimate of loss, and shall not be construed as a penalty clause.

5.4Right of Set-Off and Authorized Deductions

The Guest hereby irrevocably authorizes the Platform to assess claims submitted by the Host and to make direct monetary deductions from the Caution Deposit in respect of:

  • Physical damage to walls, fixtures, furniture, electronic equipment, or appliances;
  • Theft of, or damage to, property belonging to the Host;
  • Abnormal utility charges or overages arising from the Guest's wilful waste; and
  • Unauthorized late check-outs, billed at the hourly rate specified on the Platform listing at the time of booking.

5.5Dispute Resolution and Waiver of Injunctive Relief

The Platform's internal Dispute Resolution and Damage Assessment Team shall conduct an initial review of all escrow release claims based on photographic evidence and certified repair invoices submitted by the Host, and shall give the Guest a reasonable opportunity to respond before any release determination is made. Where the Guest disputes the Platform's determination, the Guest shall refer the matter to arbitration under Article 2.4 of these Terms and shall not seek injunctive relief or any other recourse outside the dispute resolution mechanisms established under this Agreement.

Article VI — Agent & Host Compliance Charter (Anti-Fraud & FCCPA Standards)

This Compliance Charter is binding upon all property owners, agents, property managers, and corporate developers (collectively referred to as “Hosts”) who list real estate assets on the NaijaStay Platform. By uploading a property listing, the Host is deemed to have read, understood, and unconditionally agreed to be bound by the terms of this Charter.

6.1Compliance with the FCCPA Standards

Every Host warrants that all property listings uploaded to the Platform comply fully with the provisions of the Federal Competition and Consumer Protection Act (FCCPA) 2018. All listings must include real, accurate, and current photographs; true geographic locations; a full and accurate description of functional amenities; and explicit, transparent pricing structures inclusive of all applicable charges.

6.2Prohibition of Fraudulent Listing Practices

The practice of utilising premium, digitally manipulated, or misappropriated photographs of luxury or superior properties to induce bookings, and subsequently redirecting the Guest to an alternative, unadvertised, or materially inferior unit upon physical arrival (“Bait-and-Switch”), is hereby classified as a material fraudulent misrepresentation and a breach of this Charter. Such conduct shall expose the Host to civil, administrative, and criminal remedies available under the relevant Nigerian law.

6.3Total Indemnification Obligation

In the event that a Host engages in a Bait-and-Switch scheme or otherwise misrepresents their title, interest, or legal authority to list or let a property, the Host agrees to fully indemnify and hold harmless NaijaStay Technologies Limited, its board of directors, officers, employees, and legal representatives from and against any civil lawsuits, class action claims, or damages sought by affected consumers or third parties, and any administrative fines, compliance notices, sanctions, or penalties levied by the FCCPC or any regional housing or regulatory authority.

6.4Sanctions and Marketplace Blacklisting

  • Clawback of Funds: The Platform shall be entitled to freeze and immediately claw back any rental payouts held in the booking wallet of an offending Host pending investigation and resolution.
  • Permanent Blacklisting: Any Host or Agent who accumulates more than one (1) verified instance of listing fraud, structural negligence, or failure to deliver a clean, habitable, and safe property shall have their identity token permanently flagged and blacklisted across the entire NaijaStay ecosystem.

Article VII — Commission, Fee Structure & Revenue Sharing

7.1Dynamic Commission Structure

Access to the marketplace and the creation of listings shall remain free of charge. The Platform shall apply a transaction-based commission, calculated as a percentage of the gross booking value, to each completed booking. The applicable commission rate and any volume-based discount tier shall be published and made visible to the host within the Platform's dashboard or administrative interface at all times.

7.2Rate Changes and Notice

  • The Platform may adjust commission rates and discount thresholds at any time and in its sole discretion. Any such adjustment shall be published on the Platform's administrative dashboard and shall take effect for all bookings made on or after the effective date and time stated in the notice, provided that no adjustment shall take effect earlier than twenty-four (24) hours after publication.
  • Nothing in this section restricts the Platform's ability to apply dynamic, demand-based, or seasonal adjustments to the total price displayed to a guest at the point of booking, provided that the final price, inclusive of all charges, is disclosed to the guest prior to payment.
  • Where a booking requires the host's confirmation, the commission rate applicable to that booking shall be displayed to the host at the time the booking request is received and shall remain the disclosed rate at the point of the host's confirmation.
  • A rate adjustment shall not apply to any booking already confirmed prior to the adjustment's effective date and time.

7.3Volume-Tiered Discounts

The Platform may, in its sole discretion, grant commission discounts to hosts based on the total volume of active, verified properties in good regulatory standing maintained on the platform. Portfolio discounts are a discretionary marketplace incentive and do not constitute a vested or contractual right independent of continued qualification under this section. Ghost listings and manipulation for the purpose of artificially meeting a portfolio discount threshold shall constitute a material breach, and the Platform reserves the right to revoke all historical portfolio discounts applied to the offending host.

7.4Net Payout Transparency

All sums credited to a Host's or Agent's designated bank account shall represent the gross booking value less the applicable platform commission then in effect. The Platform shall make the applicable commission rate visible to the host prior to confirmation of each booking, and no additional deduction shall be applied beyond the disclosed commission and any charges expressly authorized elsewhere in this Agreement.

Acceptance of Terms

IN WITNESS WHEREOF, the parties hereto have affixed their electronic signatures and declared their full, unequivocal understanding and unconditional acceptance of all terms and conditions contained within this Agreement.
